Limited Commercial Business License

This Limited Commercial Business License (“License”) is granted to the verified purchaser (“Licensee”) of RTS Collaborative, including but not limited to widgets, promo banners, calculators, pricing tools, all code, source code, scripts, and any other software components (“Licensed Code”). This License outlines the rights and restrictions associated with the use of the Licensed Code across Licensee-owned platforms.

1. License Grant
RTS Collaborative hereby grants the Licensee a non-exclusive, non-transferable, limited commercial license to use the Licensed Code within their own organization. This license allows embedding the Licensed Code on websites, blogs, landing pages, emails, or digital tools owned and operated solely by the Licensee; deployment across multiple internal and public-facing platforms, provided they are operated under the same legal company or organization; and use for both backend (admin/internal) and frontend (customer-facing) purposes.

2. Authorized Usage
Licensed Code may be embedded for business operations, marketing campaigns, pricing tool/calculator implementations, quoting systems, or strategic planning functions.

Customization Restrictions
Calculators & Pricing Tools may not be edited under any circumstances. Plugins, widgets, promo banners, and other scripts may only be modified to replace the designated URLs, update button titles, and change CTA text placeholders as provided. Any other alterations to the underlying code structure, animations, or core functionality are strictly prohibited unless prior written permission is obtained from RTS Collaborative. The Licensed Code may be accessed and used by authorized employees or contractors within the same organization but must not be shared outside of it.

3. Prohibited Usage
The following actions are strictly prohibited: reselling, sublicensing, repackaging, or redistributing the Licensed Code in any form; sharing the source code internally for resale or externally for free or commercial use; embedding Licensed Code in any product, SaaS platform, template, or toolkit intended for resale, client projects, or public distribution; removing or modifying the required attribution or copyright information; and sharing the Licensed Code with affiliates, clients, or third parties beyond the purchasing organization.

5. No Warranty
The Licensed Code (including all code, source code, scripts, calculators, pricing tools, widgets, and software components) is provided “as-is,” without warranty of any kind. Licensor disclaims all liability for damages resulting from use, inability to use, or malfunction.

6. Ownership & Intellectual Property
All Licensed Code, source code, scripts, calculators, pricing tools, widgets, and design elements are the exclusive intellectual property of RTS Collaborative. No derivative products intended for resale or mass distribution may be created.

7. Termination and Enforcement
RTS Collaborative reserves the right to terminate this License if any terms are violated. Upon any breach of this Agreement, Licensor may seek all available remedies under law and in equity, including injunctive relief and recovery of damages, attorney’s fees, and costs. Upon termination, Licensee must immediately cease use and remove the Licensed Code from all sites and platforms.

8. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of New Mexico, United States of America, without regard to conflict of law principles. Any dispute arising under or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Albuquerque, New Mexico.

Agency Commercial Business License

This Agency Commercial Business License (“License”) is granted to the verified purchaser (“Licensee”) of RTS Collaborative assets—including but not limited to widgets, promo banners, calculators, pricing tools, all code, source code, scripts, and any other software components (“Licensed Code”). This License outlines the rights and restrictions associated with the use of the Licensed Code across Licensee’s clients and sites.

1. License Grant
RTS Collaborative hereby grants the Licensee a non-exclusive, transferable, perpetual commercial license to use the Licensed Code:
Unlimited Client & Site Use: Embed and deploy the Licensed Code on an unlimited number of websites, storefronts, landing pages, email campaigns, or digital tools for any clients the Licensee serves.
Full Frontend & Backend Integration: Use in both admin (internal) dashboards and public-facing interfaces.
One-Time Fee: No recurring charges; this single purchase covers all current and future client deployments.

2. Authorized Usage
Business & Marketing: Embed for sales funnels, promo campaigns, pricing tools/calculators, quoting systems, or strategic tools.

Customization Restrictions:
Calculators & Pricing Tools: Code edits are strictly prohibited.
Plugins, Widgets, Promo Banners, and Other Scripts: Licensee is granted the right to replace only the designated URLs, Button Titles, and update the CTA text placeholders as provided. Any other modifications to the underlying code structure, animations, or core functionality are strictly prohibited unless prior written permission is obtained from RTS Collaborative.

Team Access: Authorized employees, contractors, or agencies under Licensee may implement and maintain the Licensed Code.

Definition of “Client”:
“Client” means any third-party business entity or individual that has directly contracted Licensee to provide web development, marketing, or IT services, and who does not themselves resell or redistribute the Licensed Code.

3. Prohibited Usage
Strictly forbidden:
Reselling, sublicensing, repackaging, or redistributing the Licensed Code as a standalone product or within third-party platforms.
Bundling the source code in products, templates, or toolkits for resale.
Removing or altering required attribution or copyright notices.
Sharing the code outside Licensee’s direct client relationships or transferring to third parties who haven’t purchased this License.

Full-Feature Trial License

By downloading, embedding, or using this Software and code, you (“Licensee”) agree to the terms below. This is a limited trial license for evaluation purposes only. For the unrestricted, full-featured version, a separate commercial license is required.

1. Grant of License
RTS Collaborative (“Licensor”) grants the Licensee a limited, non-exclusive, non-transferable, and revocable right to embed and use the Licensed Code (including all code, source code, scripts, calculators, pricing tools, widgets, and software components) for commercial purposes, on one (1) organization’s website or subdomains, for the duration of the trial period.

2. Permitted Use
You may embed, display, and use the Licensed Code publicly on your own organization’s website(s), landing pages, or client portals. You may use the Licensed Code for commercial purposes during the trial period. All copyright and license notices must remain intact in any usage.

3. Trial Period
The trial period ends ninety (90) days after the trial start date, after which the Licensed Code will automatically disable and be unusable. The trial version also limits users to ten (10) forecasts. Upon expiration of the trial period or when the usage limit is reached, continued use or attempts to circumvent these limits is strictly prohibited.

4. Upgrades & Full License
To continue using the Licensed Code after the trial period, or for unlimited use, a full commercial license must be obtained from RTS Collaborative.
